Terms of Service
Effective June 2, 2026
1. Agreement to these terms
By accessing or using TCDesk.ai (the "Service"), operated by TCDesk.ai ("TCDesk," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. If you use the Service on behalf of a brokerage or other organization, you represent that you are authorized to bind that organization to these terms.
2. What TCDesk does
TCDesk provides software that helps licensed real estate professionals coordinate transactions — including ingesting contract documents, generating AI-assisted summaries, deadlines, and document analysis, and sending communications that you direct. TCDesk is a software tool. It is not a party to your transactions, and it is not a real estate brokerage, law firm, lender, or title or settlement company.
3. Not legal, financial, or professional advice
The Service — including all AI-generated output such as deadline calculations, contract summaries, and flagged issues — is provided for informational and productivity purposes only and may contain errors or omissions. It is not legal, financial, tax, or other professional advice, and it does not replace your independent professional judgment. You are solely responsible for reviewing every output against the ratified contract, applicable law, and your brokerage's policies before relying on or acting on it.
4. Your responsibilities
You are responsible for maintaining the confidentiality of your account credentials; the accuracy of the information and documents you submit; obtaining any consents needed to upload documents and to send communications to third parties through the Service; and complying with all laws and professional obligations applicable to you, including real estate licensing law, fair housing, and applicable communication rules (such as CAN-SPAM and the TCPA) and data-privacy requirements. You will not use the Service to send unlawful, deceptive, or unauthorized communications.
5. Acceptable use
You agree not to: (a) copy, modify, distribute, sell, sublicense, or create derivative works from any part of the Service; (b) reverse engineer, decompile, or attempt to extract the source code, models, or prompts of the Service, except to the extent this restriction is prohibited by law; (c) use the Service to build or train a competing product or service; (d) scrape, crawl, or harvest data from the Service, or access it by automated means except through interfaces we provide; (e) probe, scan, or test the vulnerability of, or breach the security or authentication measures of, the Service; (f) interfere with or disrupt the integrity or performance of the Service; or (g) use the Service to infringe or violate the rights of others.
6. Intellectual property
The Service, including all software, source code, models, prompts, designs, text, and other materials we provide (excluding Your Content), and all intellectual property rights in them, are owned by TCDesk or its licensors and are protected by United States and international law. Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. No rights are granted except as expressly stated here.
7. Your content
You retain ownership of the documents, data, and other materials you submit ("Your Content"). You grant TCDesk a limited license to host, process, and transmit Your Content solely to provide, secure, and improve the Service and to carry out the actions you direct (for example, sending a document to a contact you specify). You represent that you have all rights and consents necessary to submit Your Content and to have TCDesk process and transmit it.
8. Communications you initiate
The Service can send emails, text messages, and documents at your direction. As between you and TCDesk, you are the sender of those communications and are responsible for their content and recipients, and for ensuring you have the right to contact each recipient and to share any attached materials.
9. Availability and beta features
The Service is provided on an "as available" basis and may be offered in beta. Features may change, and we may modify, suspend, or discontinue any part of the Service at any time. We do not guarantee that the Service will be uninterrupted, secure, or error-free.
10. Fees
Any fees will be presented to you before they apply. During any free or beta period, the Service is provided at no charge and may be subject to usage limits.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ITS OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, OR ERROR-FREE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TCDESK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE OR ITS OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TCDESK'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO TCDESK IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100).
13. Indemnification
You will indemnify and hold harmless TCDesk and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to Your Content, your use of the Service, the communications you send through the Service, or your violation of these terms or of any law or third-party right.
14. Termination
We may suspend or terminate your access to the Service at any time if you violate these terms or to protect the Service or other users. You may stop using the Service at any time. Provisions that by their nature should survive termination — including intellectual-property, disclaimer, limitation-of-liability, and indemnification terms — will survive.
15. Changes to these terms
We may update these terms from time to time. Material changes will be reflected by updating the effective date above and, where appropriate, by additional notice. Your continued use of the Service after the changes take effect constitutes acceptance of the updated terms.
16. Governing law
These terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. The state and federal courts located in Virginia will have exclusive jurisdiction over any dispute arising out of or relating to these terms or the Service, except where prohibited by law.
17. Text messaging (SMS) program
TCDesk.ai operates a text-messaging program, TCDesk.ai Transaction Alerts, for licensed real estate agents who create an account and opt in. When you provide your mobile number and consent during signup, we send transaction-coordination texts — contract deadline reminders, document alerts, settlement reminders, status updates, and replies to messages you initiate. Consent to receive texts is optional and is never a condition of using the Service. Message frequency varies based on your transaction activity, and message and data rates may apply.
